A law firm seeks a seasoned Corporate/Commercial Transactions Partner to join its team in downtown Houston, Texas. This position is ideal for an experienced attorney with a strong background in corporate law, capable of addressing the growing demands of clients and leading complex transactions.

Duties:

  • Form and organize business entities and joint ventures, including limited liability companies, limited partnerships, corporations, series LLCs, and professional entities.
  • Draft and prepare governing documents, buy-sell agreements, resolutions, and other operational documents for business entities.
  • Manage the merging, converting, winding up, and termination of business entities, including the drafting of necessary filing and internal documents.
  • Draft and negotiate asset and entity purchases and sales across various industries, including purchase agreements, financing agreements, and associated transaction documents.
  • Handle real estate investments and professional partnerships, focusing on deal structures and tax matters, as well as real estate private placement and exempt offerings.
  • Engage in a wide array of corporate, M&A, or commercial transactions, including strategic analysis, due diligence, and negotiations.
  • Draft, review, and negotiate complex commercial contracts, including NDAs, MSAs, real estate purchase agreements, leases, product and service purchase agreements, and software licenses.

Requirements:

  • At least 10 years of legal experience, with a preference for candidates from law firms.
  • Hands-on experience in the specified areas, serving as lead counsel.
  • Excellent verbal and written communication skills.
  • Strong judgment and business acumen, with a solid work ethic and the ability to work independently.
  • Some portable business is preferred.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in the state bar where practicing.

Skills:

  • Proficient in drafting and negotiating a wide range of legal documents.
  • Strong analytical skills for strategic analysis and due diligence.
  • Ability to manage multiple complex transactions simultaneously while maintaining attention to detail.
