Job Title: Bank and Leveraged Finance Associate Attorney

Job Overview:
A prestigious law firm based in New York City is seeking a highly motivated Bank and Leveraged Finance Associate Attorney to join its Finance practice group. The ideal candidate will be involved in a diverse range of financial transactions, working alongside a team of experienced professionals in a dynamic and fast-paced environment. The role offers an opportunity to manage both domestic and international deals while gaining exposure to complex financing matters.

Duties:

  • Handle a variety of secured, unsecured, and guaranteed financing transactions, including agented and syndicated transactions, corporate finance, and debt capital markets deals.
  • Advise clients on the interpretation of financing documents and their implications.
  • Draft and negotiate key documents such as credit agreements, indentures, note purchase agreements, security documents, guarantees, and related materials.
  • Manage all stages of financing transactions, including closing procedures, documentation, and disclosure materials.
  • Collaborate with colleagues across the firm to provide comprehensive legal support on a wide array of financing and debt capital market matters.
  • Provide expert counsel on banking, lending, and related corporate issues, ensuring compliance with regulations and business needs.

Requirements:

  • 4-5 years of experience in finance law, particularly in secured and unsecured financing, syndicated transactions, and corporate finance/debt capital markets.
  • Extensive experience with drafting, negotiating, and closing complex financing transactions.
  • Strong understanding of the Uniform Commercial Code, particularly Articles 8 and 9.
  • Knowledge of banking and lending operations, as well as relevant corporate matters.
  • Proven ability to manage and interpret complex legal documents, and provide advice to clients.
  • Must be admitted to practice law in New York.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the State of New York.

Skills:

  • Strong drafting, negotiation, and analytical skills.
  • Excellent written and verbal communication abilities.
  • Ability to handle multiple projects and manage competing priorities.
  • Strong attention to detail and problem-solving capabilities.
  • Ability to work both independently and collaboratively within a team environment.
