Job Overview

A law firm seeks an experienced transactional attorney to join its dynamic investment transactions team. This role involves representing capital providers in a range of debt and equity investment activities, including structured lending, alternative investment vehicles, and private equity transactions. The successful candidate will gain exposure to various aspects of the capital structure, advising both equity and debt investors, as well as portfolio companies in acquisitions, dispositions, and financing transactions.

Duties

  • Represent lenders in financing transactions and alternative investment firms in debt and equity investments.

  • Advise private equity fund investors on control and growth equity investments.

  • Counsel portfolio companies in acquisition, divestiture, and financing transactions.

  • Collaborate with internal and external stakeholders to structure and negotiate complex investment agreements.

  • Conduct due diligence, draft legal documents, and manage transaction closings.

Requirements

  • 2-6 years of experience in transactional law, preferably in finance or corporate transactions.

  • Strong knowledge of capital structures, lending arrangements, and private equity investments.

  • Excellent legal research, negotiation, and drafting skills.

  • Ability to manage multiple transactions in a fast-paced environment.

  • Exceptional interpersonal and communication abilities.

Education

  • Juris Doctor (J.D.) or equivalent legal degree.

  • Admission to the North Carolina State Bar preferred.

Certifications

  • Relevant certifications in corporate finance or investment law are beneficial but not required.

  • Ability to interpret and apply complex financial regulations and investment structures.

  • Team-oriented mindset with a proactive approach to client service.
