Job Overview:
A prestigious law firm is seeking an experienced Commercial Mortgage-Backed Securities (CMBS) Associate to join its Global Finance group in Charlotte. This role involves representing issuers, underwriters, servicers, and investors in CMBS and commercial real estate (CRE) securitization transactions. The ideal candidate will have hands-on experience in structuring and executing securitization deals and will work on high-profile transactions in a top-ranked legal practice.

Location:

  • Charlotte, NC

Duties:

  • Prepare bid letters and negotiate confidentiality agreements.
  • Draft securitization disclosure and operative documents, including pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.
  • Advise on and structure commercial real estate repurchase facilities and warehouse lending transactions.
  • Serve as a key member of deal teams, overseeing transactions from due diligence to closing.
  • Work closely with clients, financial institutions, and other legal professionals to facilitate transactions.

Requirements:

  • 3-6 years of securitization experience.
  • Strong background in CMBS and CRE securitization.
  • Experience handling commercial real estate repurchase facilities and warehouse lending.
  • Ability to manage complex transactions and work collaboratively in a fast-paced environment.
  • Large law firm experience strongly preferred.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in at least one U.S. jurisdiction.

Skills:

  • Strong drafting and negotiation skills.
  • Ability to manage multiple transactions simultaneously.
  • Excellent analytical and problem-solving abilities.
  • Effective communication and client management skills.
