Job Overview:
A prominent law firm in San Francisco is seeking a Associate Attorney with 4 to 6 years of focused experience in Mergers & Acquisitions. This position offers the opportunity to work with a sophisticated client base on complex transactions, including drafting, negotiating, and managing all aspects of the M&A process. The ideal candidate will demonstrate leadership in managing junior attorneys and collaborating across departments while delivering high-quality legal counsel in a fast-paced, team-oriented environment.

Location:

Duties:

  • Draft and negotiate definitive and ancillary agreements in connection with M&A transactions

  • Manage deal timelines and workflow across various stages of the transaction lifecycle

  • Liaise directly with clients on strategic legal matters and transaction structuring

  • Supervise and mentor junior associates and legal support staff

  • Handle day-to-day project management and execution of complex M&A matters

  • Provide legal guidance on corporate governance and general business counseling

  • Ensure compliance with applicable laws, regulations, and internal policies during deal execution

  • Collaborate with cross-practice teams including tax, employment, IP, and regulatory counsel

Requirements:

  • 4 to 6 years of experience in mergers and acquisitions within a law firm setting

  • Proven ability to manage M&A deals independently and as part of a team

  • Familiarity with a variety of industries and transaction structures

  • Strong attention to detail, organization, and multitasking skills

  • Excellent client relationship and team leadership abilities

Education:

  • Juris Doctor (J.D.) from a nationally recognized, accredited law school

  • High level of academic achievement required

Certifications:

  • Active membership in good standing with the California State Bar, or eligibility for admission

Skills:

  • Advanced drafting, negotiation, and transaction management skills

  • Effective communicator with both clients and internal stakeholders

  • Ability to provide practical and business-oriented legal advice

  • Adept at balancing multiple priorities under tight deadlines

  • Strong leadership and mentoring capability
