Job Overview

A law firm seeks a Transactional Attorney with expertise in nonprofit and tax-exempt organizations to join their team in San Diego, CA. This role involves serving as outside general counsel to a diverse portfolio of public charities, private foundations, and other mission-driven entities on a wide range of legal and tax matters. Remote and hybrid candidates are encouraged to apply.

Duties

  • Serve as outside general counsel to nonprofit and tax-exempt organizations.
  • Draft and negotiate contracts, agreements, and other legal documents.
  • Advise clients on nonprofit governance policies and best practices.
  • Guide clients through nonprofit formation and IRS filings.
  • Research and prepare legal opinions on nonprofit issues.
  • Advise on domestic and international grantmaking activities.

Requirements

  • 3-8 years of transactional experience with a focus on nonprofit and tax-exempt organizations.
  • Admission to at least one state bar in good standing.
  • Ability to provide strategic legal advice to nonprofit executives and Boards.
  • Superior drafting skills and excellent communication abilities.
  • Proficiency with legal and tax research software.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Admission to a state bar in good standing.
