Job Title: Registered Funds Associate Attorney

Job Overview:
A distinguished law firm based in San Francisco, CA, is seeking a mid-level associate to join its asset management and investment fund regulatory practice. This opportunity is ideal for a candidate with hands-on experience navigating the legal framework applicable to registered investment companies, including the Investment Company Act and the Investment Advisers Act. The role involves working with a wide spectrum of clients, from emerging boutique asset managers to major global financial institutions, advising on product structuring, compliance, and regulatory matters related to investment vehicles and advisory services.

Duties:

  • Advise clients on regulatory compliance under the Investment Company Act of 1940 and the Investment Advisers Act of 1940

  • Assist with structuring, formation, registration, and ongoing operations of investment companies, including mutual funds and ETFs

  • Draft and review fund-related documents such as registration statements, shareholder communications, advisory contracts, and board materials

  • Support legal matters involving variable insurance products, business development companies, and commodity-related investment products

  • Liaise with regulatory agencies, including the SE,C regarding filings and compliance reviews

  • Provide strategic advice on governance, disclosure, and legal risk mitigation for asset management clients

  • Contribute to client training, internal knowledge sharing, and thought leadership on emerging legal trends in the investment funds sector

Requirements:

  • 3-6 years of focused experience working with registered investment companies

  • Solid understanding of the Investment Company Act and Investment Advisers Act

  • Background in a large law firm, financial institution, or regulatory body preferred

  • Experience with ETFs, insurance-dedicated funds, BDCs, and/or commodity-linked investments is considered a strong asset

  • Strong legal research, drafting, and communication skills

  • Demonstrated ability to manage complex projects and client relationships independently

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Active membership in the California Bar (must be in good standing)

Skills:

  • Deep familiarity with federal securities laws governing investment products

  • Strong analytical and problem-solving abilities

  • Clear and persuasive written and verbal communication

  • Client-centric mindset with attention to responsiveness and quality

  • Ability to navigate regulatory changes and industry developments

  • San Francisco, CA
