Fund Formation Associate (Junior/Mid-Level)

Job Overview

A law firm seeks a junior or mid-level associate to join its Fund Formation group in the Bay Area. The ideal candidate will focus on growth equity and venture capital fund formation and operations, with experience in private investment funds or a similar group at a top-tier law firm.

Duties

• Advise funds in all stages of operations, including preparing offering materials and drafting governing agreements.
• Negotiate with investors and draft side letters.
• Counsel fund managers on securities laws and regulatory matters.
• Advise on general fund operations, including compliance and conflicts of interest.

Requirements

• JD from 2020 - 2024.
• Previous large law firm experience required.
• High level of academic achievement from a nationally recognized law school.
• Preference for candidates licensed to practice law in California or Texas.

Education

• Juris Doctor (JD)

Certifications

• Licensed to practice law in California or Texas preferred.

Skills
