Duties

• Lead and manage complex M&A transactions from inception to closing.
• Advise corporate clients on legal and strategic aspects of mergers, acquisitions, dispositions, and joint ventures.
• Draft and negotiate stock and asset purchase agreements, merger agreements, shareholder agreements, and related corporate documents.
• Oversee due diligence processes and risk assessments.
• Coordinate with internal and external legal teams, tax advisors, and financial consultants.
• Supervise and mentor junior attorneys and legal staff.
• Maintain and develop strong client relationships.
• Ensure compliance with applicable corporate laws, regulations, and governance standards.

Requirements

• 20 years of legal experience with a strong focus on corporate law and M&A transactions.
• Demonstrated leadership in handling large-scale deals and managing client relationships.
• Deep understanding of structuring corporate transactions and negotiating deal terms.
• Ability to provide practical, business-oriented legal advice.
• Proven track record of success in a law firm or in-house environment.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications

• Licensed to practice law in New York.
• Member in good standing with the New York State Bar.
