Job Overview
A distinguished law firm based in San Diego, CA is seeking a Senior Associate with a strong background in public company advisory work and capital markets. This opportunity is ideal for an experienced attorney ready to engage with high-growth sectors such as life sciences, technology, and digital assets. The position involves representing both issuer and underwriter clients in a fast-paced, collaborative legal environment with a national scope.

Location

  • San Diego, California

Duties

  • Provide legal counsel on public company reporting and compliance matters

  • Advise clients on corporate governance, including board and committee structure and best practices

  • Draft and review SEC filings, including periodic reports, proxy statements, and beneficial ownership reports under Sections 13 and 16

  • Support capital markets transactions such as public offerings and private placements

  • Advise on listing requirements and corporate matters for Nasdaq and NYSE-listed companies

  • Collaborate with attorneys nationwide as part of a broader capital markets and governance team

Requirements

  • Minimum of 5 years’ experience practicing in capital markets or public company advisory

  • Prior experience working with large-cap and mid-cap public companies

  • Familiarity with the Securities Act of 1933 and Securities Exchange Act of 1934

  • Knowledge of Nasdaq and NYSE listing and governance requirements

  • Experience at an AmLaw 100 firm is preferred

  • Ability to work both independently and as part of a collaborative team

  • Strong business judgment and time management skills

  • Ability to handle multiple tasks and meet deadlines under pressure

Education

  • Juris Doctor (JD) from an accredited law school

Certifications

  • Active Bar membership in the state of California
