Corporate/Commercial Transactions Partner

Job Overview

A law firm seeks a corporate/commercial transactions partner to join their team in downtown Houston. The ideal candidate will have extensive experience in handling complex business transactions and a strong ability to meet growing client demands.

Duties

• Form and organize business entities and joint ventures, including LLCs, partnerships, and corporations.
• Draft governing documents, buy-sell agreements, and resolutions for business entities.
• Manage mergers, conversions, and terminations of business entities, including necessary documentation.
• Draft and negotiate asset and entity purchase and sale agreements across various industries.
• Handle real estate investment and professional partnerships, including tax matters.
• Conduct strategic analysis, due diligence, and negotiations for corporate and commercial transactions.
• Draft, review, and negotiate complex commercial contracts, including NDAs and MSAs.

Requirements

• At least 10 years of legal experience, preferably in a law firm setting.
• Hands-on experience as lead counsel in relevant areas.
• Superb verbal and written communication skills.
• Superior judgment and business acumen.
• Strong work ethic and ability to work independently.
• Some portable business is preferred.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in the state of Texas.
