A law firm seeks a Corporate Associate Attorney to join its downtown Fort Wayne, IN, office. In this role, you will provide strategic legal counsel on a variety of corporate matters, collaborate with internal teams, and contribute to shaping the firm’s client services.

Duties

  • Advise clients on corporate transactions, including mergers, acquisitions, and financing structures

  • Draft, review, and negotiate transactional documents such as purchase agreements, partnership agreements, and related contracts

  • Perform comprehensive due diligence and risk assessments to identify potential legal obstacles and propose solutions

  • Counsel clients on regulatory and compliance issues affecting business operations

  • Partner with tax, regulatory, and litigation professionals to deliver integrated legal advice

  • Represent client interests in negotiations, ensuring clear communication of objectives and protections

  • Assist in structuring and executing secondary offerings, joint ventures, and other complex corporate deals

  • Guide clients through corporate governance matters, board resolutions, and shareholder issues

  • Maintain awareness of evolving legal trends and regulatory changes in corporate law

  • Cultivate and sustain client relationships through timely responsiveness and service delivery

  • Mentor junior attorneys, providing oversight and guidance to support their professional growth

  • Participate in business development initiatives, including client presentations and networking events

  • Prepare and present legal opinions and memoranda on intricate corporate issues

Requirements

  • Licensed to practice law in the State of Indiana

  • 3–6 years of experience in corporate or business law, with a strong focus on transactional work

  • Proven ability to manage multiple matters and deliver high-quality legal services under deadline pressure

  • Exceptional organizational, analytical, and problem-solving abilities

  • Strong interpersonal skills and a collaborative mindset in a team-oriented environment

  • Ability to handle constructive feedback and maintain a growth mindset

  • Meticulous attention to detail and accuracy in drafting and review

  • Excellent verbal and written communication skills

  • Proficiency in legal research tools (e.g., Westlaw) and Microsoft Office Suite

  • Demonstrated commitment to client service and professional integrity
