Job Overview: A renowned law firm is currently seeking a highly experienced Business Transactions Attorney. Location:

  • Sacramento, CA

Duties:

  • Advise clients on various business legal matters, including intellectual property, entity formation, contract law, commercial leases, and asset protection.
  • Manage own caseload with minimal supervision while collaborating with the Principal Attorney, paralegals, and clients.
  • Develop creative legal solutions to help clients achieve their business goals while ensuring legal protection.
  • Build long-term relationships with clients, acting as a trusted advisor in legal, insurance, finance, and tax matters.
  • Collaborate with estate planning attorneys on business succession and tax planning.
  • Manage the firm’s entity maintenance program, overseeing paralegals and legal assistants.
  • Review and prepare legal documents such as Operating Agreements, Bylaws, contracts, and leases.
  • Advise clients on trademark applications and maintenance filings.
  • Assist clients in commercial real estate transactions, including reviewing agreements and managing the process through escrow closure.
  • Negotiate contracts with third parties and other attorneys.
  • Conduct legal research to support client strategies and case evaluations.
  • Contribute to firm efficiency through process and procedure improvements.
  • Perform additional related duties as assigned.

Requirements:

  • Juris Doctorate (J.D.) degree from an accredited law school.
  • Licensed to practice law in California.
  • Minimum of 8+ years of in-depth experience in business law.
  • Strong communication and problem-solving skills.
  • Experience with technology platforms such as Wealth Counsel, ActionStep, Lexis Nexis, CaseText, and Gavel.
  • Fluency in the Spanish language is preferred but not required.
  • Ability to thrive in a fast-paced, entrepreneurial environment.
  • High attention to detail with effective written communication skills.
  • A solution-oriented approach to legal issues and practical risk assessment.

Education:

  • Juris Doctorate (J.D.) from an accredited law school.

Certifications:

  • Active license to practice law in California.

Skills:

  • Strong legal research and writing skills.
  • Excellent organizational and communication abilities.
  • Problem-solving and analytical skills.
  • Adaptability to change and growth within a diverse and inclusive team.
