Job Overview:
A prominent law firm located in Midtown Manhattan is currently seeking an experienced Senior Commercial Real Estate Financing Attorney. The firm specializes in commercial real estate lending and offers a dynamic and fast-paced environment. The successful candidate will be responsible for representing institutional and private equity lenders in a variety of commercial real estate financing transactions. The role provides ample opportunities for professional growth and development.

Duties:

  • Represent institutional and private equity lenders in financing commercial and mixed-use properties, from inception to closing.
  • Draft and negotiate senior, subordinate, mezzanine, preferred equity, and related loan documents, ensuring proper structuring of capital stack components.
  • Handle various types of loans, including senior mortgages, junior mortgages, mezzanine loans, construction loans, balance sheet loans, bridge loans, participation agreements, and note-on-note financing.
  • Review and revise organizational documents for borrowing entities, ensuring compliance and making necessary revisions.
  • Draft and negotiate key transactional documents such as commitment letters, term sheets, fee letters, credit agreements, modification agreements, forbearance agreements, estoppels, SNDAs, inter-creditor agreements, co-lender agreements, and other ancillary loan documents.
  • Oversee real estate-secured finance transactions, including workouts and restructurings.
  • Review title reports and surveys, ensuring thorough title clearance.

Requirements:

  • 7-15 years of experience in commercial real estate and commercial lender representation.
  • Strong expertise in commercial real estate financing, including handling various types of loans and transactions.
  • Proven ability to draft and negotiate complex legal documents related to real estate finance.
  • Experience with financial workouts and restructurings.
  • Ability to work independently and efficiently while managing a high volume of transactions.
  • Exceptional legal research, writing, and analytical skills.
  • Strong organizational and communication skills, with the ability to interact effectively with clients and colleagues.
  • Must be admitted to practice law in New York.
  • Proficiency in Microsoft 365.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active Bar membership in New York.

Skills:

  • Excellent legal writing and drafting abilities.
  • Strong analytical, organizational, and problem-solving skills.
  • Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
  • Effective communication skills for both internal and external interactions.
