Job Overview

A leading law firm is seeking a Junior to Mid-Level Associate to join its Securities and Capital Markets Group in Fort Lauderdale, FL. The role involves advising public company clients on compliance with federal securities laws, SEC regulations, and corporate governance matters. The ideal candidate has 2-5 years of experience in public company advisory work, including drafting Exchange Act filings and providing strategic legal guidance.

Duties

  • Advise public company clients on disclosure obligations under federal securities laws
  • Assist with compliance regarding major U.S. exchange listing standards
  • Support clients in SEC interactions, including filing preparation and communications
  • Draft and review Exchange Act filings, such as Forms 10-K, 10-Q, 8-K, and proxy statements
  • Provide legal counsel on executive and director compensation disclosures
  • Assist with capital markets transactions, including equity and debt offerings
  • Collaborate on M&A transactions, joint ventures, and capital markets offerings
  • Stay informed on securities law developments, corporate governance, and executive compensation trends
  • Advise clients on risk mitigation, corporate governance, and compliance strategies

Requirements

  • Juris Doctor (J.D.) from an ABA-accredited law school
  • 2-5 years of experience in public company advisory work
  • Experience drafting and reviewing Exchange Act filings (Forms 10-K, 10-Q, 8-K, and proxy statements)
  • Strong knowledge of U.S. stock exchange listing standards
  • Understanding of executive and director compensation disclosures
  • Experience in equity and high-yield debt offerings, as well as M&A transactions (preferred)
  • Excellent communication and client management skills
  • Ability to work collaboratively in a team environment across industries
