Job Overview

A boutique law firm specializing in private equity and financial services is seeking a highly skilled NDA & Transactional Contracts Attorney to support a robust and fast-paced practice. This attorney will play a critical role in drafting, reviewing, and negotiating NDAs and related agreements on behalf of sophisticated clients including private equity firms, family offices, and portfolio companies. The role is fully remote, but candidates must be available during standard Eastern Time business hours.

Duties

  • Draft, review, and negotiate NDAs, release letters, non-solicitation/no-hire agreements, standstills, and non-circumvent clauses

  • Collaborate with clients’ internal legal departments, executives, and deal professionals

  • Support M&A and financing transactions across a wide range of industries

  • Track status of agreements and maintain accurate records of final terms

  • Deliver prompt, client-focused responses to legal questions and document requests

  • Manage a high volume of contracts while meeting tight deadlines

Requirements

  • Minimum 2 years of experience in transactional or contracts law

  • Prior experience in M&A or financial services transactions preferred

  • Ability to manage a large workload independently and efficiently

  • Demonstrated ability to communicate clearly, confidently, and succinctly in writing and verbally

Education

  • Juris Doctor (JD) from an accredited law school

Certifications

  • Licensed and in good standing in at least one U.S. jurisdiction

Skills

  • Advanced contract drafting and negotiation abilities

  • Strong attention to detail and organizational proficiency

  • Excellent written and oral communication skills

  • Strong judgment and problem-solving skills under time pressure

  • Comfortable working remotely with minimal supervision
