Job Overview

A law firm seeks a mid-level associate to join their ESOP Transactions and Services practice group in Philadelphia, PA. The ideal candidate will have a strong preference for Kansas City and possess excellent academic credentials, along with experience in a law firm or similar environment.

Duties

  • Advise on ESOP transactions and related corporate and ERISA matters.
  • Engage in transaction planning and design.
  • Handle qualified retirement plan and Code Section 409A matters.
  • Participate in mergers and acquisitions.
  • Manage ESOP company corporate governance and executive compensation.
  • Represent ESOP sponsors, shareholders, lenders, trustees, and private companies.
  • Support clients on strategic and day-to-day business issues.

Requirements

  • 4+ years of experience in ESOP transactions and related fields.
  • Strong drafting, communication, and problem-solving skills.
  • Sound business judgment and ability to manage complex matters independently.
  • Ambition and drive to support and grow a national practice.
  • Ability to navigate complex subject matter quickly and effectively.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Active bar admission in the jurisdiction of intended practice.
