Job Overview:
A reputable law firm is seeking a mid-level Corporate Associate Attorney to join its San Antonio office. This role offers a unique opportunity for attorneys with 3–5 years of experience to gain hands-on transactional experience while working directly with senior attorneys. The ideal candidate will possess strong drafting skills, a practical legal mindset, and an interest in small to mid-market business law, including M&A, entity formation, and corporate governance.

Location:

  • San Antonio, TX

Duties:

  • Draft and negotiate a wide range of corporate legal documents, including:

    • Operating agreements

    • Shareholder agreements

    • Purchase and sale agreements (stock and asset-based)

    • Letters of intent (LOIs)

    • Non-disclosure agreements (NDAs)

    • Promissory notes, deeds, and supporting financing documents

    • Corporate resolutions and meeting minutes

  • Conduct legal due diligence in support of M&A transactions

  • Assist in business entity formation and counsel on governance structures

  • Advise clients on regulatory compliance, risk mitigation, and operational issues

  • Prepare closing documents and disclosure schedules

  • Work collaboratively with external professionals such as CPAs and financial consultants

  • Support senior attorneys in strategic corporate structuring initiatives

Requirements:

  • 3–5 years of relevant corporate/transactional law experience

  • Experience working in a law firm or in-house legal department

  • Proven ability to manage multiple matters and meet tight deadlines independently

  • Strong attention to detail and high-level organizational skills

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Licensed to practice law and in good standing in Texas, or eligible for admission

Skills:

  • Strong legal drafting and analytical skills

  • Practical and business-minded approach to problem-solving

  • Effective communicator with a client-focused mindset

  • Ability to quickly build rapport and maintain strong client relationships

  • Familiarity with startup and small business legal needs preferred

  • Experience preparing closing documents and disclosure schedules a plus

  • Advanced spreadsheet skills a plus
