Job Overview

A law firm seeks a Corporate Mid-Level Associate in Houston, TX to focus on corporate finance and securities law. The role involves securities offerings, private equity, mergers and acquisitions, SEC reporting, corporate governance, and general corporate representation, particularly for energy industry clients.

Duties

• Represent companies and investment banks in registered offerings and private placements of debt and equity securities.
• Advise public and private companies on corporate matters, including entity formation and board composition.
• Review and negotiate financing provisions of acquisition agreements and conduct legal diligence for M&A transactions.
• Advise on securities law matters, including drafting SEC filings and ensuring compliance with regulations.
• Conduct due diligence and provide strategic advice for mergers and acquisitions and other corporate transactions.

Requirements

• JD, LLM, or foreign equivalent.
• Two years of experience as an Associate or related occupation.
• Experience in representing companies in securities offerings and private placements.
• Experience in advising on corporate governance and securities law matters.
• Licensure in Texas or eligibility to obtain Texas law license within 12 months.

Education

• JD or LLM required.

Certifications

• Licensure in Texas or another jurisdiction with eligibility for Texas licensure.

Skills

• Strong understanding of corporate finance and securities law.
• Proficiency in drafting legal documents and conducting due diligence.
