Job Overview
A law firm seeks a Mid-Level Associate in Pittsburgh, PA to conduct diligence on employee benefit and executive compensation plans and agreements in the context of transactions and advise clients on material red flags.

Duties

  • Conduct diligence on employee benefit and executive compensation plans.
  • Advise clients on material red flags and draft due diligence reports.
  • Draft legal documents, including amendments and summary plan descriptions.
  • Prepare purchase agreements and employment contracts.
  • Advise on cash and equity-based incentive programs.
  • Assist with the evaluation and administration of retirement and health plans.
  • Prepare IRS filings and ensure compliance with applicable laws.

Requirements

  • Juris Doctor or equivalent.
  • Two years of experience in drafting legal documents related to employee benefits.
  • Admitted to practice law in the State of Pennsylvania.

Education

  • Juris Doctor or equivalent.

Certifications

  • Admitted to practice law in Pennsylvania.

Skills

  • Strong drafting and analytical skills.
  • Experience with ERISA and IRC Code Section 125 Plans.
  • Ability to advise on incentive programs and compliance matters.
