Job Overview:
A law firm is seeking a Project Finance Associate with 3-6 years of significant transactional experience in debt project finance. The ideal candidate will have a strong background in negotiating and preparing credit agreements, collateral documents, intercreditor arrangements, and conducting due diligence on key project agreements, including offtake, EPC, supply contracts, and O&M services. This is an excellent opportunity to work on large-scale, complex projects across multiple sectors.

Location:

  • Los Angeles, CA

Duties:

  • Negotiate and prepare credit agreements, collateral documents, and intercreditor arrangements.
  • Conduct due diligence on key project agreements, such as offtake agreements, EPC contracts, supply contracts, and O&M services agreements.
  • Review and negotiate other ancillary credit documents.
  • Provide legal advice and guidance to clients in the energy, infrastructure, and project finance sectors.
  • Collaborate with partners and other associates on large-scale project finance transactions.
  • Manage client relationships and ensure timely execution of projects.

Requirements:

  • 3-6 years of transactional experience in debt project finance.
  • Strong experience in negotiating and preparing credit agreements and related documents.
  • Experience conducting due diligence on project agreements.
  • Knowledge of industry-specific agreements such as offtake, EPC, supply, and O&M contracts.
  • Ability to work independently and in a team environment.
  • Excellent negotiation, drafting, and communication skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the relevant jurisdiction(s) (depending on office location).

Skills:

  • Strong analytical and negotiation skills.
  • Excellent attention to detail and organizational skills.
  • Effective communication skills, both written and oral.
  • Ability to manage complex transactions and prioritize multiple tasks.
