Job Overview

A law firm seeks a Corporate Attorney to join its team in New York, NY. This role focuses on working with emerging growth companies and institutional investors, requiring a minimum of 5 years of experience in venture capital financings, M&A transactions, and corporate governance.

Duties

• Support venture capital financings and M&A transactions.
• Advise clients on corporate governance matters.
• Negotiate and manage preferred stock, bridge, and SAFE financings.
• Conduct due diligence on transactions.
• Supervise junior lawyers and staff.

Requirements

• 5-8 years of experience in Emerging Growth/Venture Capital.
• Experience in an AmLaw 100 law firm preferred.
• Familiarity with NVCA, seriesseed.com, and Y Combinator forms.
• Strong analytical and writing skills.
• Excellent organizational and communication skills.

Education

• Juris Doctor (JD)

• Admitted to practice in the jurisdiction of application.
