Junior Fund Formation Associate

Job Overview

A law firm seeks a Junior Fund Formation Associate to join its New York office. The ideal candidate will focus on growth equity and venture capital fund formation and operations, with experience in private investment funds or a similar group at a top-tier law firm. This role offers the opportunity to work with leading growth equity and venture capital firms both in the U.S. and internationally.

Duties

• Advise funds in all stages of operations, including preparing offering materials and drafting governing agreements.
• Negotiate with investors and draft side letters.
• Counsel fund managers on securities laws, fund structures, tax, and regulatory matters.
• Advise on general fund operations, including compliance and conflicts of interest.
• Manage employment, consulting, and commercial relationships.
• Handle admission of new members to general partner and management company entities.

Requirements

• JD from 2022 - 2023.
• Previous large law firm experience required.
• High level of academic achievement from a nationally recognized law school.
• Strong preference for candidates licensed to practice law in New York and in good standing.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in the State of New York preferred.

Skills

• Strong understanding of fund structures and regulatory compliance.
• Excellent negotiation and drafting skills.
• Ability to manage complex legal and business issues.
