Job Overview:
A prestigious law firm is seeking a mid-senior level Finance Associate with experience representing either sponsor or lender sides in corporate finance transactions. The ideal candidate will have experience representing lenders (including investment and commercial banks, business development companies, or other debt financing providers) and/or borrowers (such as private equity sponsors) in sophisticated financings, including acquisitions, buyouts, restructurings, and special situations. This role offers flexibility in location, with the opportunity to sit in multiple office locations across the U.S.

Location:

  • San Francisco, CA

Duties:

  • Represent clients in sophisticated corporate finance transactions, including acquisitions, buyouts, restructurings, and special situations.

  • Draft, negotiate, and review financing agreements and related legal documentation.

  • Provide legal and strategic advice on complex finance matters.

  • Manage client relationships, ensuring high-quality service and advice.

  • Work closely with senior partners and other team members to execute transactions.

Requirements:

  • Mid-senior level experience in sponsor or lender-side finance.

  • Experience representing either lenders (investment and commercial banks, business development companies) or borrowers (private equity sponsors).

  • Expertise in debt financing, acquisitions, buyouts, restructurings, and special situations.

  • Strong drafting and negotiation skills.

  • Proven ability to manage client relationships and work within a team.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the relevant state bar.

Skills:

  • Strong knowledge of corporate finance, debt transactions, and relevant regulations.

  • Excellent drafting, negotiation, and communication skills.

  • Ability to manage complex legal matters and work with diverse teams.

  • Strong client-facing skills and the ability to build and maintain client relationships.

  • Analytical, organizational, and problem-solving skills.
