Job Overview:
A highly regarded law firm is seeking associates with 2 to 6 years of experience to join its sophisticated Debt Finance Practice Group. This position offers an excellent opportunity to work on high-value financing transactions, primarily representing private equity sponsors and corporate borrowers. Ideal candidates will have experience with leveraged lending, acquisition financings, and complex capital structures across a broad range of industries.

Location:

  • San Francisco, CA

Duties:

  • Structure, document, and negotiate secured and unsecured lending transactions

  • Represent borrowers and/or lenders in senior, mezzanine, and subordinated debt matters

  • Support acquisition financings, leveraged buyouts, and recapitalizations

  • Advise on loan restructurings, amendments, and workouts

  • Draft and review credit agreements, intercreditor agreements, and security documentation

  • Collaborate with private equity clients, company-side borrowers, and co-counsel

  • Contribute to closing and post-closing processes in complex deal environments

Requirements:

  • 2–6 years of relevant experience in debt finance, leveraged lending, or banking law

  • Transactional experience involving both borrower and lender representations preferred

  • Exposure to acquisition financing and private equity-driven deals is highly desirable

  • Familiarity with capital structures, term sheets, and market standards in commercial lending

Education:

  • Juris Doctor (JD) from an accredited law school

  • Strong academic credentials required

Certifications:

  • Admission to the bar in at least one U.S. jurisdiction

Skills:

  • Excellent drafting and negotiation skills

  • Strong understanding of commercial lending and financial structuring

  • Ability to manage multiple deals and deadlines in a fast-paced environment

  • Team-oriented with strong interpersonal and communication abilities

  • Highly organized and attentive to detail
