Duties

  • Provide tax counsel on mergers, acquisitions, divestitures, restructurings, and other complex transactions
  • Structure transactions to achieve tax-efficient outcomes for clients
  • Draft and review transaction-related tax provisions, agreements, and opinions
  • Conduct tax due diligence for corporate, private equity, and strategic transactions
  • Advise clients on federal, state, and international tax implications
  • Collaborate with legal, financial, and business stakeholders throughout deal processes
  • Monitor and interpret changes in tax laws and regulations affecting transactional matters

Requirements

  • 20 years of experience in tax law with a strong focus on M&A and transactions
  • Extensive knowledge of federal, state, and international tax regulations
  • Proven experience advising on complex, high-value corporate transactions
  • Strong drafting, research, and analytical capabilities
  • Ability to manage multiple sophisticated matters simultaneously
  • Excellent communication and client advisory skills

Education

  • Juris Doctor (J.D.) from an accredited law school

Certifications

  • Active state bar license in good standing
  • LL.M. in Taxation preferred
