A law firm seeks a skilled and self-motivated mid-level associate to join its Corporate/Mergers & Acquisitions (M&A) practice. This position is available in Charlotte. The ideal candidate will have 3-6 years of experience handling M&A transactions, including working on both buy-side and sell-side deals. Candidates should have a solid foundation in the corporate legal space, excellent client management abilities, and a strong academic background from a reputable law school. Prior experience at a large law firm is preferred.

Duties:

  • Handle all aspects of M&A transactions, including private and public company buy- and sell-side deals.
  • Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, and other legal documentation.
  • Conduct comprehensive due diligence, identifying key risks and opportunities in potential transactions.
  • Manage client relationships and serve as a trusted advisor throughout the M&A process.
  • Collaborate with cross-functional teams, including other legal experts and external advisors, to drive transactions to successful closure.
  • Provide legal counsel on corporate governance and other business-related matters.
  • Mentor and guide junior associates, fostering a collaborative work environment.
  • Ensure compliance with relevant laws and regulations during the execution of transactions.

Requirements:

  • 3-6 years of experience in mergers & acquisitions or corporate law.
  • Proven experience working on all stages of M&A transactions, from initial negotiations to post-closing.
  • Strong document drafting and negotiation skills.
  • Excellent client management and interpersonal communication skills.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Strong problem-solving and analytical abilities.
  • Prior large law firm experience is highly preferred.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials from a top-tier law school.

Certifications:

  • Admission to practice law in the state of North Carolina.

Skills:

  • In-depth understanding of M&A transactions and corporate law.
  • Expertise in drafting and negotiating transaction documents.
  • Strong research and analytical skills.
  • Client-focused approach with the ability to communicate complex legal matters.
