Job Overview

A distinguished law firm located in Phoenix, AZ, is seeking a mid-level transactional attorney with a background in corporate legal work. The ideal candidate will play a central role in drafting and negotiating complex business documents and advising on a range of commercial and M&A transactions. The role involves significant client interaction, transactional leadership, and contribution to business development initiatives.

Duties

  • Draft and negotiate a wide variety of corporate and commercial agreements, including:

    • Entity formation and governance documents

    • Operating and shareholder agreements

    • Supply and purchase agreements

    • M&A documents and related compliance filings

  • Advise business clients on day-to-day corporate operations, risk mitigation strategies, and deal structuring

  • Oversee legal due diligence in connection with mergers, acquisitions, and similar transactions

  • Represent clients during transaction negotiations and closings

  • Contribute to client relationship management and business development efforts

  • Collaborate closely with colleagues across practice areas to deliver integrated legal solutions

Requirements

  • Minimum of 5 years of experience handling sophisticated corporate transactions in a law firm setting

  • Demonstrated ability to manage deals independently, from term sheet to post-closing

  • Track record of advising privately held companies on governance and operational matters

  • Proven client service skills and ability to build lasting relationships

  • Business development experience or aptitude strongly preferred

Education

  • Juris Doctor (JD) from an accredited U.S. law school

Certifications

  • Active membership in good standing with the State Bar of Arizona or eligibility for waiver/admission

Skills

  • Deep understanding of corporate structures, M&A strategy, and contract negotiation

  • Excellent drafting and analytical skills
