Job Overview

A law firm seeks a mid-level associate for its underwriting and structured finance and capital markets team in New York. The ideal candidate will have experience advising financial institutions on securities offerings under the Securities Act of 1933, including representing issuers and underwriters in registered and exempt transactions.

Duties

• Advise financial institutions on securities offerings under the Securities Act of 1933.
• Represent issuers and underwriters in registered and exempt transactions.
• Handle disclosure requirements and offering documentation.
• Manage compliance matters under the 1933 Act.
• Engage in esoteric asset-backed securities offerings and registered equity underwriting offerings.
• Participate in public-company M&A and at-the-market offerings.
• Work with special purpose acquisition companies.

Requirements

• 4-6 years of relevant experience.
• Familiarity with disclosure requirements and compliance under the 1933 Act.
• Background in general capital markets or leveraged finance preferred.
• Strong interest in securities law.
• Superior academic credentials.
• Prior experience at a large law firm.

Education

• Juris Doctor (JD) degree.

Certifications

• Admitted to practice law in New York.
