Job Overview

A law firm seeks a Senior Associate in Mergers & Acquisitions in New York, NY to lead a variety of public and private M&A matters. The role involves managing complex transactions, providing strategic advice, and maintaining client relationships.

Duties

  • Lead on public and private M&A matters, including stock and asset purchases.
  • Draft, review, and negotiate core transaction documentation.
  • Manage legal due diligence processes and identify key legal risks.
  • Oversee conditions to closing and completion processes.
  • Act as the day-to-day contact for key clients on transactions.
  • Build and maintain strong, long-term client relationships.
  • Contribute to fee proposals, matter scoping, and budgeting.
  • Supervise, train, and mentor junior associates and paralegals.
  • Work collaboratively across practice groups and offices.
  • Support partners with business development activities.
  • Ensure compliance with applicable US federal and state law.

Requirements

  • J.D. or foreign equivalent with four years of relevant experience.
  • Experience in negotiating and drafting legal documents for corporate transactions.
  • Admitted to the practice of law in New York.
  • Experience advising on U.S. federal securities laws issues.

Education

  • Juris Doctor (J.D.) or foreign equivalent.

Certifications

  • Admitted to the New York State Bar.

Skills

  • Strong negotiation and drafting skills.
  • Ability to manage complex transactions and due diligence processes.
  • Excellent client relationship management skills.
  • Proficiency in cross-border corporate transactions.
