Job Overview

A prominent law firm is seeking a skilled Mid-Level Associate to join its Private Equity Debt Finance practice in San Francisco. The ideal candidate will have experience representing private equity sponsors, banks, or private credit lenders in connection with leveraged buyouts, acquisition financings, and growth transactions. This is an excellent opportunity for a motivated attorney looking to advance in a fast-paced, deal-driven practice group.

Location

Duties

  • Represent private equity sponsors and financial institutions in debt finance transactions

  • Draft and negotiate commitment papers, credit agreements, and collateral documents

  • Manage and close complex leveraged buyout and acquisition financing transactions

  • Provide legal counsel on structuring, documenting, and executing debt finance deals

  • Coordinate with clients, opposing counsel, and internal teams throughout the deal lifecycle

  • Stay current on market trends and legal developments relevant to debt finance

Requirements

  • Experience in debt finance, leveraged buyouts, and acquisition financings

  • Demonstrated experience with term and revolving credit facilities

  • Experience working with private equity sponsors and/or lenders in transactional settings

  • Ability to manage multiple high-level transactions simultaneously

Education

  • Juris Doctor (J.D.) from an accredited law school with strong academic credentials

Certifications

  • Active bar membership in California or eligibility to obtain admission promptly

Skills

  • Strong drafting, negotiation, and analytical skills

  • Exceptional attention to detail and problem-solving capabilities

  • Excellent written and verbal communication abilities

  • Proactive, responsive, and client-service focused

  • Ability to work both independently and collaboratively in a high-performing legal team
