Mid-Level Capital Markets and M&A Associate

Job Overview

A law firm seeks a mid-level capital markets and M&A associate to join its Corporate M&A and Securities Practice in New York, NY. The ideal candidate will have 3-5 years of experience in capital market transactions and public company reporting and compliance.

Duties

• Represent issuers in public and private offerings of debt and equity securities.
• Interface with the SEC and other regulators.
• Counsel public companies on disclosure, corporate governance, and compliance matters.
• Prepare Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Engage in public and private company M&A transactions.
• Manage internal and external client relationships effectively.

Requirements

• 3 to 5 years of relevant experience.
• Must reside in the New York City area at or prior to the time of hire.
• Ability to work in the office at least three business days per week.

Education

• JD from an ABA Accredited Law School.

Certifications

• Must be licensed or ready to become licensed in the state of New York.

Skills

• Strong interpersonal and communication skills.
• High degree of maturity and business sense.
• Ability to manage client relationships effectively.
