Job Overview:
A highly regarded law firm is seeking an associate attorney with 3 to 5 years of experience to join its Investment Funds Group, focusing on Registered Funds. This role involves advising clients on the formation, structuring, and regulatory aspects of a range of retail fund products, including both traditional and alternative vehicles. The ideal candidate will bring experience from a recognized investment funds practice and demonstrate a deep understanding of fund structures, securities regulations, and compliance matters across multiple fund types.

Location:

  • New York, NY

Duties:

  • Advise on the formation and structuring of registered investment funds

  • Counsel clients on mutual funds, ETFs, closed-end funds, interval funds, tender offer funds, and BDCs

  • Provide guidance on regulatory and compliance matters, including U.S. and global distribution

  • Support clients with public company reporting obligations and related capital markets transactions

  • Draft offering materials, board materials, and SEC filings for registered fund products

  • Collaborate with cross-functional legal teams to advise on fund governance and operations

Requirements:

  • 3 to 5 years of legal experience in investment funds, preferably in a top-tier funds practice

  • Demonstrated experience advising on a variety of registered fund structures

  • Knowledge of Investment Company Act, Advisers Act, and securities regulatory frameworks

  • Familiarity with alternative registered products such as BDCs and REITs is a plus

  • Public company reporting and capital markets experience is valued

Education:

  • Juris Doctor (JD) from an accredited law school

  • Strong academic credentials required

Certifications:

  • Admission to the bar in at least one U.S. jurisdiction (New York, California, D.C., or Massachusetts preferred)

  • Candidates must be admitted or eligible to seek prompt admission in relevant jurisdiction

Skills:

  • Excellent written and verbal communication skills

  • Strong analytical and issue-spotting capabilities

  • Proven ability to manage complex fund structuring and compliance matters

  • Highly organized and detail-oriented, with strong project management abilities

  • Ability to work effectively both independently and within team settings
