Job Overview:

Duties:

  • Advise clients on corporate governance, mergers and acquisitions (M&A), securities, and finance matters
  • Draft and review contracts and transactional documents
  • Assist in fund formation and finance-related transactions
  • Provide guidance on securities compliance, including regulations related to public offerings and private placements
  • Conduct legal research and analysis on corporate and securities laws
  • Collaborate with senior attorneys and other team members to provide practical, business-oriented legal solutions
  • Represent clients in negotiations, due diligence, and closings for corporate transactions

Requirements:

  • 3+ years of experience in corporate law, M&A, securities, fund formation, or finance
  • Strong understanding of corporate and securities regulations
  • Experience drafting and negotiating transactional documents
  • Excellent oral and written communication skills
  • Ability to manage multiple priorities and deadlines
  • Applicable bar admission
  • Strong academic credentials

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to practice law in NY

Skills:

  • Expertise in corporate law, M&A, fund formation, finance, and securities
  • Strong drafting and legal research skills
  • Excellent communication and negotiation abilities
  • Ability to manage complex transactions and provide practical legal advice
  • Ability to work independently as well as in a team-oriented environment
