Junior Technology Transactions Associate Attorney

Job Overview

A Boston-based law firm with a national presence is seeking a Junior Associate (2-3 years PQE) to join its expanding Technology Transactions practice. This opportunity is ideal for candidates with experience in technology or corporate transactional matters who are looking to transition into a practice focused on cutting-edge commercial and technology-related deals. The role offers exposure to a broad spectrum of complex agreements and evolving areas such as artificial intelligence and quantum computing, within a collaborative and growth-oriented environment.

Duties

  • Draft and negotiate complex technology and IP-related agreements, including:

    • Software licensing

    • SaaS agreements

    • IT and business process outsourcing

    • ERP implementation contracts

  • Support transactional matters involving M&A, joint ventures, and corporate reorganizations with a focus on IP and data assets

  • Advise on technology, privacy, and data protection issues across a range of commercial contracts

  • Collaborate with clients and internal teams to provide actionable legal insights on technical issues

  • Contribute to knowledge management and team-wide best practices initiatives

Requirements

  • 2-3 years of relevant experience at a large law firm

  • Demonstrated experience or interest in technology transactions

  • Willingness to transition from corporate transactional work to a focused tech practice, if needed

  • Licensed and in good standing with the Massachusetts Bar

  • Availability to work in the office at least three days per week

Education

  • Juris Doctor (JD) from an accredited U.S. law school

Certifications

  • Active Bar membership in Massachusetts (preferred) or in any state with reciprocity if relocating

Skills

  • Advanced contract drafting and negotiation skills

  • Solid grasp of intellectual property, software, and data privacy principles

  • Ability to simplify and communicate complex legal and technical concepts

  • Strong organizational and project management abilities

  • Interest or background in emerging tech sectors such as AI and quantum computing (preferred)
