Should have significant middle market debt finance legal experience. Should have experience in (either as first or second chair) drafting and negotiating letters of intent and commitment letters; (either as first or second chair) drafting and negotiating term loan and revolving credit agreements and intercreditor agreements; assuming primary responsibility for drafting and negotiating the ancillary documents associated with credit facilities transaction (security and pledge agreements, guaranties, deposit account control agreements, compliance and borrowing base certificates, landlord waivers and managing the closing of debt financing transactions, both as a standalone transactions and in connection with leveraged buyout transactions.
