Job Overview

A law firm seeks an associate with expertise in corporate capital markets to join their team in Washington, D.C. The ideal candidate will have a strong background in securities offerings and compliance matters, contributing to a dynamic and collaborative environment.

Duties

• Represent issuers and underwriters in public and private securities offerings.
• Advise on SEC reporting and compliance matters.
• Support corporate governance and NYSE/Nasdaq compliance.
• Draft, review, and negotiate offering and transaction documentation.
• Coordinate with regulatory authorities and stock exchanges.
• Conduct legal research on regulatory compliance and corporate governance.
• Collaborate with cross-border and multi-disciplinary deal teams.
• Participate in client calls and manage transaction timelines.

Requirements

• At least 3 years of relevant capital markets experience.
• Experience with equity capital markets and related offerings.
• Proficiency in drafting registration statements and Exchange Act disclosures.
• J.D. or equivalent degree.
• Admitted to the bar in the relevant jurisdiction.
• Excellent legal drafting and analytical skills.
• Ability to manage multiple deadlines under pressure.

• J.D. or equivalent.
