A prominent law firm in Charlotte, NC is seeking an experienced Private Fund / Debt Financing Associate Attorney to join its expanding team. This is an excellent opportunity for an associate with a strong background in providing debt financing solutions to fund sponsors and investors. The ideal candidate will have 2+ years of experience with structured finance and capital markets matters, particularly in relation to collateralized fund obligations (CFOs), rated note feeders, and NAV facilities. As a key member of the team, the associate will play a vital role in drafting debt financing documents, managing transactions, and collaborating with a variety of stakeholders to ensure successful deal execution.

Key Responsibilities:

  • Assist in the structuring, negotiation, and drafting of debt financing agreements for private equity funds, including collateralized fund obligations (CFOs), rated note feeders, and NAV facilities.
  • Collaborate with fund sponsors, lenders, and investors to ensure the seamless execution of debt financing transactions.
  • Review and interpret private equity fund documents to ensure alignment with the financing structure and regulatory requirements.
  • Draft and refine key financing documents, including ancillary agreements and loan documents.
  • Work as part of a dynamic, client-facing team, helping to manage complex transactions from inception to completion.
  • Provide strategic legal counsel to clients in the areas of private fund formation and structured finance.
  • Conduct legal research, due diligence, and risk analysis about debt financing solutions for funds and their sponsors.
  • Contribute to business development efforts by building and maintaining relationships with clients and other key stakeholders in the financial services sector.
  • Stay up-to-date with developments in capital markets, structured finance, and private equity to advise clients effectively.

Qualifications:

  • 2+ years of experience working on debt financing transactions, particularly in the context of private equity funds.
  • Hands-on experience with collateralized fund obligations (CFOs), rated note feeders, NAV facilities, and related structured finance products.
  • Juris Doctor (JD) degree from an accredited law school and admission to the state bar.
  • Strong background in reviewing and analyzing private equity fund documents, and drafting key financing documents.
  • Demonstrated experience managing transactions and working effectively as part of a deal team.
  • Strong analytical skills with the ability to assess complex legal issues related to debt financing and structured products.
  • Excellent written and verbal communication skills, with the ability to interact confidently with clients and senior attorneys.
  • Highly motivated, with a passion for learning and a drive to contribute immediately to a growing practice.
  • Ability to manage multiple priorities in a fast-paced environment and maintain attention to detail.

Preferred Skills and Experience:

  • Previous experience working with private equity fund sponsors or lenders to such sponsors.
  • Knowledge of capital markets, including structured finance and securitization.
  • Experience with cross-border transactions or international finance is a plus.
  • Ability to thrive in a collaborative, client-oriented environment.
