Job Overview

A law firm seeks a mid- to senior-level Capital Markets and Securities Attorney to join their Corporate Team in Southern California. The ideal candidate will have 5-10 years of experience advising clients on securities compliance and capital markets transactions, supporting both public and private company clients across various industries.

Duties

  • Advise clients on capital markets transactions, including IPOs and private placements.
  • Represent issuers, underwriters, and investors in equity and debt offerings.
  • Assist public company clients with periodic reporting obligations under the Securities Exchange Act of 1934.
  • Draft and review registration statements, prospectuses, and related disclosure documents.
  • Advise on securities law compliance and corporate governance matters.
  • Support securities aspects of mergers and acquisitions and other strategic transactions.
  • Draft and negotiate underwriting, purchase, and investor rights agreements.
  • Coordinate due diligence and prepare disclosure materials.
  • Collaborate with attorneys across corporate, tax, and other practice areas.

Requirements

  • Experience drafting and negotiating complex securities-related documents.
  • Strong knowledge of federal securities laws and SEC regulations.
  • Ability to manage multiple matters in a fast-paced environment.
  • Strong analytical, drafting, and communication skills.
  • Excellent academic credentials and attention to detail.
  • Ability to work independently and as part of a team.

Education

  • Juris Doctor degree from an ABA-accredited law school.

Certifications

  • Active California Bar admission.
