Job Overview

A law firm seeks a Corporate Associate to join the Capital Markets practice group in Philadelphia, PA. Exceptional candidates may be considered for remote work in other markets. The team represents issuers, investment banks, investors, and other market participants in various transactions and regulatory compliance.

Duties

  • Advise on securities law and capital markets transactions.
  • Draft registration statements and offering documents.
  • Manage transactions and lead due diligence teams.
  • Provide expertise in public securities offerings and corporate governance.

Requirements

  • Three to five years of experience in securities law and capital markets.
  • Experience working at a large firm.
  • Familiarity with IPOs, registered direct offerings, and PIPEs.
  • Excellent writing skills and superior academics.
  • Ability to manage multiple assignments with minimal supervision.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Bar admission in the relevant jurisdiction.

Skills

  • Strong analytical and problem-solving skills.
  • Effective communication and interpersonal abilities.
  • Proficiency in managing complex transactions.
