Job Overview
A law firm seeks a mid-level Corporate and Tax Associate specializing in Employee Benefits and Executive Compensation in Los Angeles, California. The ideal candidate will have extensive experience advising companies and senior executives on executive compensation, benefits, and related employment matters.

Duties

  • Advise on structuring, negotiating, and drafting employment, compensation, and separation agreements.
  • Lead compensation and benefits aspects of M&A transactions, financings, and bankruptcies.
  • Provide guidance on ERISA, Section 409A, and compliance matters involving equity plans.
  • Advise compensation committees on governance and fiduciary obligations.

Requirements

  • 4-7 years of experience in executive compensation and employee benefits.
  • Significant experience with equity plans, "top hat" and severance plans.

Education

  • Juris Doctor (JD) degree required.

Certifications

  • Bar admission in California preferred.

Skills

  • Strong negotiation and drafting skills.
  • Ability to manage complex transactions and compliance matters.
