Job Overview

A law firm seeks an experienced Capital Markets Associate with 3-5 years of legal experience to join their Boston or New York office. This role involves supporting clients in securities transactions and financing activities, guiding them through public and private offerings, and ensuring compliance with regulatory requirements.

Duties

  • Advise clients on securities offerings, including equity and debt issuances.
  • Draft, review, and revise offering documents, prospectuses, and registration statements.
  • Draft and review SEC filings, corporate governance materials, and proxy statements.
  • Conduct due diligence and identify potential legal risks.
  • Research complex questions under various securities laws and regulations.
  • Ensure compliance with securities laws and regulations.
  • Collaborate with deal teams on public offerings and financing transactions.
  • Work with opposing counsels and regulators to complete documents and filings.
  • Support clients in ongoing reporting and disclosure obligations.
  • Negotiate and prepare transaction agreements and ancillary documents.
  • Research and analyze legal issues related to capital markets transactions.
  • Monitor market trends and regulatory developments.
  • Maintain knowledge of legal developments and complete continuing education.
  • Communicate with clients, colleagues, and external parties.
  • Manage transaction timelines and deliverables efficiently.
  • Use AI technologies responsibly and ethically to support legal work.

Requirements

  • Hold a J.D. degree from an accredited law school or equivalent.
  • Be admitted to practice law in the relevant jurisdiction.
  • Possess 3 to 5 years of experience in capital markets or securities law.
  • Experience representing corporate issuers and investment banks in equity financings.
  • Experience advising on compliance, corporate governance, and M&A transactions.
  • Proficiency in drafting and negotiating transaction documents.
  • Strong research, analytical, and problem-solving skills.
  • Knowledge of securities laws, regulations, and market practices.
  • Attention to detail and organizational skills.
  • Ability to manage multiple projects and deadlines efficiently.
  • Proficiency in using AI technologies responsibly and ethically.

Education

  • J.D. degree from an accredited law school or equivalent.

Certifications
