A law firm located in Charlotte, NC, is seeking an experienced Associate to join their growing team. The ideal candidate will have a strong background in representing financial institutions, including banks, in complex secured lending transactions and structured finance matters. The Associate will play a key role in supporting the firm’s clients in various asset-based finance transactions, with a focus on repurchase agreements, whole loan trades, and warehouse lending.

This is an excellent opportunity for a highly skilled attorney with 3+ years of experience in capital markets and asset-based finance, specifically in structured finance and repurchase agreements. Candidates with experience in commercial and residential real estate-backed lending, and other related finance sectors, will find this role especially rewarding.

Key Responsibilities:

  • Represent financial institutions, including banks, in various asset-backed finance transactions, including but not limited to repurchase agreements, whole loan trades, and warehouse lending.
  • Advise clients on structured finance transactions, particularly those involving commercial real estate (CRE), residential real estate, and other asset-backed securities.
  • Assist in drafting, negotiating, and interpreting complex loan agreements, repurchase agreements, and other financial documentation.
  • Provide legal counsel on regulatory and compliance matters related to asset-based lending and structured finance.
  • Collaborate with clients to structure and execute warehouse lending transactions, ensuring all legal aspects are thoroughly addressed.
  • Support clients in CRE CLO, CLO, CMBS, SFR, MSR, and whole loan trade transactions, bringing in-depth expertise to drive successful deal closures.
  • Contribute to the development of internal procedures and best practices related to asset-based finance.
  • Maintain up-to-date knowledge of industry trends, regulatory changes, and legal developments affecting asset-based finance and capital markets.
  • Foster and maintain strong relationships with both internal and external stakeholders, acting as a trusted advisor to clients in complex financial matters.

Qualifications:

  • Juris Doctor (JD) from an accredited law school and admission to the state bar.
  • Minimum of 3 years of experience in asset-based finance, capital markets, or related fields, with a focus on repurchase agreements, whole loan trades, and secured lending transactions.
  • Strong background in warehouse lending transactions, particularly those backed by commercial and residential real estate.
  • Solid understanding of CRE CLO, CLO, CMBS, SFR, MSR, and whole loan trade transactions.
  • Ability to interpret and apply complex financial regulations and legal standards related to asset-based lending.
  • Experience representing clients in complex negotiations and drafting sophisticated legal documents.
  • Excellent communication and interpersonal skills, with the ability to work well under pressure and manage multiple priorities.
  • Strong analytical and problem-solving abilities, with a keen attention to detail.

Preferred Skills and Experience:

  • Experience in structured finance, including asset-backed securities and CLOs.
  • Familiarity with emerging trends and developments in asset-based finance and capital markets.
  • Ability to provide strategic legal advice to clients in the financial sector.
