Job Title: Mid/Senior-Level Project Finance Attorney

Job Location: Houston, TX

Job Overview: A law firm based in Houston, TX is seeking an experienced mid to senior-level attorney specializing in project finance, M&A, and development of energy and infrastructure projects. The ideal candidate will have a proven track record of handling large-scale transactions in renewable energy, power, and infrastructure sectors, with deep expertise in credit and security documentation, power purchase agreements (PPAs), and related transaction documentation. This role offers substantial opportunities for growth and leadership within a dynamic, sponsor-side energy and infrastructure practice.

Duties:

  • Led and managed project finance transactions, including energy and infrastructure projects, from initial negotiation to closing.
  • Draft and negotiate key transactional documents, including credit and security agreements, power purchase agreements (PPAs), and purchase and sale agreements.
  • Oversee and run closings for financings, acquisitions, and dispositions in the power, energy, and infrastructure sectors.
  • Work closely with clients to develop strategic solutions for energy projects, ensuring compliance and addressing legal concerns.
  • Manage and mentor junior attorneys and support staff, guiding them on legal and transactional matters.
  • Collaborate with cross-functional teams to support complex transactions in energy and infrastructure development.
  • Advise on a range of industry projects, including traditional energy sources and emerging technologies such as hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.

Requirements:

  • 4-6 years of legal experience in project finance, energy, and infrastructure, with a focus on transactional work.
  • Strong experience in drafting, negotiating, and closing finance transactions, including power purchase agreements (PPAs).
  • Proven expertise in M&A, credit, and security documentation, and project finance.
  • Experience with renewable energy, conventional power, and energy infrastructure projects is essential.
  • Demonstrated ability to manage complex transactions and collaborate effectively with clients and team members.
  • Strong communication and negotiation skills.
  • Ability to handle a high volume of work and meet tight deadlines.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active Bar membership in good standing with the state of Texas (or eligibility to be admitted to the Texas Bar).

Skills:

  • Expertise in project finance, M&A, and energy sector transactions.
  • Knowledge of power purchase agreements (PPAs) and related contractual documentation.
  • Strong transactional drafting and negotiation abilities.
  • Familiarity with energy and infrastructure project structures, including renewable and conventional energy sources.
  • Excellent client management, communication, and problem-solving skills.
  • Leadership and mentoring capabilities for junior team members.
