Job Overview

A law firm seeks an experienced associate to join its Energy and Infrastructure group in Houston, TX. The ideal candidate will have a minimum of 5 years of experience in financings and mergers and acquisitions related to power and energy transition transactions, with substantive experience in energy tax credit transactions.

Duties

  • Document and negotiate complex joint ventures and tax equity transactions.
  • Handle tax credit transfers and apply partnership tax rules.
  • Draft and negotiate tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.

Requirements

  • Minimum of 5 years of relevant experience.
  • Experience with financings and M&A in power and energy transition sectors.
  • Substantive experience with energy tax credit transactions.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law in the state of Texas.

Skills

  • Strong negotiation and documentation skills.
  • Familiarity with partnership tax rules.
  • Ability to develop practical, commercial solutions to complex tax issues.
