Job Overview
A law firm seeks an associate attorney to join the Emerging Companies/Venture Capital team within the Strategic Transactions practice group in New York City, NY. The ideal candidate will have 3 to 6 years of substantial legal experience in emerging company and venture capital transactions.

Duties

  • Advise early-stage companies through IPO or M&A exit.
  • Guide venture capital funds and institutional investors on investment rounds.
  • Assist with founders' arrangements and initial investments.
  • Provide strategic securities law compliance and corporate governance advice.
  • Facilitate mergers, acquisitions, and asset sales.
  • Structure investments and conduct due diligence for investor clients.
  • Advise on ongoing relationships and investment exit strategies.

 

Requirements

  • J.D. degree from an accredited law school or equivalent.
  • Admitted to practice law in the relevant jurisdiction.
  • 3 to 6 years of experience in capital markets or securities law.
  • Experience representing early-stage companies and investors.
  • Proficiency in drafting and negotiating transaction documents.
  • Ability to manage multiple projects in a fast-paced environment.
  • Strong research, analytical, and problem-solving skills.
  • Attention to detail and organizational skills.
  • Proficiency in using AI technologies responsibly in legal practice.

 

Education

  • J.D. degree from an accredited law school or equivalent.

 

Certifications

  • Admitted to practice law in the relevant jurisdiction.
