Job Overview

A law firm seeks a strategic and experienced securities attorney to join its dynamic securities practice in Milwaukee, WI. This role involves providing legal guidance on securities law compliance, corporate governance, and supporting finance and M&A activities. Duties

  • Maintain responsibility for SEC filings and ensure compliance with regulations.
  • Assist in planning and executing annual stockholder meetings.
  • Advise on securities law issues, including insider trading policies.
  • Monitor compliance with federal and state securities laws and industry standards.
  • Counsel on corporate matters such as executive compensation and equity plans.
  • Prepare documentation for public and private securities offerings.
  • Provide legal support for Boards of Directors and committee meetings.
  • Advise on corporate governance best practices.
  • Support capital markets transactions and tax restructuring projects.
  • Conduct legal due diligence for mergers and acquisitions.

Requirements

  • Minimum 7 years of legal experience in securities law and corporate governance.
  • Licensed to practice law in Wisconsin, Illinois, Texas, Michigan, or Colorado.
  • Outstanding analytic, communication, and negotiation skills.
  • Ability to manage multiple projects in a fast-paced environment.
  • Strong work ethic and ability to work independently.

Education

  • J.D. from an accredited law school.

Certifications

  • Licensed to practice law in relevant states.
