Job Overview

A highly respected law firm is seeking a Principal Attorney with at least seven years of experience specializing in securities law, capital markets transactions, and corporate governance matters. This position involves advising both public and private companies across diverse industries on complex regulatory and transactional issues. A portable book of business is required for consideration.

Location

  • Washington, D.C.

Duties

  • Advise public and private companies on securities law compliance, public offerings, and capital markets transactions

  • Counsel clients on corporate governance issues, SEC reporting, and regulatory matters

  • Draft and negotiate offering documents, public company filings, transactional agreements, and compliance materials

  • Lead and manage capital markets projects and related legal matters

  • Collaborate with attorneys across multiple practice groups to provide comprehensive client service

  • Participate in business development initiatives and client relationship management

  • Stay current on evolving securities laws, corporate governance best practices, and market trends

Requirements

  • A portable book of business is required

  • 7 years of securities law and capital markets experience

  • Experience advising on public securities offerings, SEC compliance, debt and equity transactions, and corporate governance

  • Ability to manage complex matters independently and within a team

  • Strong organizational and multi-tasking abilities

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

  • Active license to practice law and in good standing with at least one U.S. jurisdiction

  • Admission to practice in Washington, Oregon, New York, or Washington, D.C. preferred

Skills

  • Exceptional legal research, drafting, and communication skills

  • Strong client service orientation and business development acumen

  • Ability to handle multiple assignments in a fast-paced environment

  • High attention to detail and commitment to delivering quality results

  • Ability to work collaboratively across practice groups and locations
