Job Overview

A law firm seeks a mid-level Associate with significant US equity capital markets experience to join its Capital Markets practice in New York. This role offers the opportunity to work on a broad range of sophisticated domestic and cross-border equity and debt capital markets transactions.

Duties

  • Advise public and private companies, underwriters, and financial institutions on capital markets transactions.
  • Draft, review, and negotiate transaction documentation.
  • Support public company clients with SEC reporting and disclosure matters.
  • Manage drafting processes and coordinate execution with partners and clients.
  • Work on capital markets-adjacent M&A and strategic transactions.
  • Collaborate with colleagues across various practices to deliver integrated solutions.
  • Contribute to the firm's thought leadership through writing and submissions.

Requirements

  • Approximately 4+ years of relevant law firm or in-house transactional experience.
  • Experience advising on equity and/or debt capital markets transactions.
  • Strong drafting, analytical, and negotiation skills.
  • Familiarity with SEC reporting and disclosure requirements.
  • Commercial awareness and ability to see the broader business context.
  • Strong communication, organization, and time-management skills.
  • Ability to manage multiple matters efficiently and perform well under pressure.
  • Client-service oriented, collaborative, and proactive.
  • Fluency in English; international experience is a plus.

Education

  • Juris Doctor (JD) degree (or LL.M./foreign equivalent) from an accredited law school.

Certifications

  • Admission to the New York Bar (or eligibility to become admitted) and in good standing.
