Job Overview

A law firm seeks a Mid-level Associate specializing in Mergers and Acquisitions in New York, NY. The role involves advising on complex corporate transactions, focusing on cross-border public company mergers and strategic acquisitions.

Duties

  • Advise corporate clients on M&A transactions, focusing on cross-border mergers and acquisitions.
  • Conduct complex legal research and draft memoranda on M&A and corporate governance matters.
  • Lead the drafting and negotiation of large-capital and mid-capital M&A transaction agreements.
  • Draft and review financial and corporate legal documentation for infrastructure projects.
  • Oversee transaction due diligence and liaise with clients for input on deal documentation.
  • Manage deals for publicly listed clients, including drafting SEC filings related to M&A transactions.
  • Serve as a central point of contact for clients and engage in business development activities.
  • Mentor junior associates and provide guidance on transaction processes.
  • Manage and integrate work product from multi-jurisdictional teams.

Requirements

  • J.D., LL.M., or U.S. equivalent in law with 3 years of professional experience in M&A.
  • Admitted to the New York State Bar.
  • Experience with large-capital and mid-capital domestic and cross-border M&A transactions.
  • Experience managing due diligence processes and drafting related memoranda.
  • Experience advising on M&A infrastructure and project finance deals.
  • Experience drafting and negotiating corporate legal documentation.
  • Experience analyzing corporate health and coordinating regulatory filings.
  • Experience advising on M&A deals in the Asia-Pacific and Middle East regions.

Education

  • J.D., LL.M., or U.S. equivalent in law.

Certifications

  • Admitted to the New York State Bar.

Skills

  • Strong legal research and drafting skills.
  • Excellent negotiation and communication abilities.
  • Ability to manage complex transactions and multi-jurisdictional teams.
  • Proficiency in advising on regulatory compliance and corporate governance.
